Part 2-4 and Part 2-5: commitments, banking, borrowing, investment, indemnities, insurance, CCE grants, ministerial notices and receipts (sections 18 to 27) – Australia Public Governance, Performance and Accountability Rule 2014 (PGPA Rule)

Australia Public Governance, Performance and Accountability Rule 2014 (PGPA Rule) 22B: Indemnities and exemptions by corporate entities: never indemnify an official against penalties, bad-faith liabilities to third parties or liabilities to the entity, nor against legal costs in proceedings lost on those grounds or criminal convictions, and never exempt an official from liability to the entity

What does 22B require?

A corporate Commonwealth entity and its subsidiaries must not, directly or through another entity and whether by agreement or payment, indemnify anyone, for what they owe because of acting as one of the entity's officials, against civil pecuniary penalties, criminal penalties, liabilities to someone other than the entity or a subsidiary arising from conduct not in good faith, or liabilities owed to the entity or a subsidiary. Nor may they cover legal costs of defending proceedings where the person is found liable on one of those grounds or of criminal proceedings ending in a guilty finding, counting the outcome of any appeal. Nor may they release anyone from a debt or liability owed to the entity that arose from the person's conduct as an official.
