The SBA Lender obtains a copy of the executed franchise agreement and every other document the franchisor requires the franchisee to sign: for 7(a) loans before any disbursement; for 504 loans before closing, with the CDC sending them to its closing counsel, who certifies in the Opinion of CDC Counsel that they are properly executed and comply with the SOP and the Directory. These documents are produced at guaranty purchase and on oversight review.
