The SBA Lender determines and documents, as early as practicable and as of application through closing and disbursement, that the Applicant is an operating business (or an Eligible Passive Company), is organized for profit (reviewing its organizational documents; a for-profit subsidiary of a non-profit qualifies only if proceeds benefit the subsidiary alone, the non-profit's receipts or employees are counted for size, and a non-profit owning 20% or more guarantees the loan), and is created or organized, located and primarily operating in the United States or its territories, authorized to do business where it seeks assistance and paying US taxes. Proceeds of an internationally operating Applicant benefit only the US Borrower, and no loan goes to a business exporting to a prohibited country or in a transaction barred by an OFAC sanctions program.
