The SBA Lender excludes passive businesses: developers and landlords not using the financed assets (other than Eligible Passive Companies), subdividers, real estate owning and leasing businesses, space-rental models (shopping centres, office or salon suites, ghost kitchens) unless revenue is membership dues with no assigned space and the business supplies and maintains the equipment, land leased for towers, solar panels, billboards or turbines, stand-alone passively operated assets such as EV charging stations, apartment buildings and mobile home parks, unlicensed residential facilities, and leveled models relying on a middle-level operator without owning the contracts. Hotels and similar businesses qualify only if more than half of prior-year revenue (or projections for a start-up) comes from stays of 30 days or less and zoning and association rules are met; licensed nursing homes and assisted living facilities providing health services, licensed professional businesses with a compliant ownership structure (documented in the file), equipment leasing and personal services businesses qualify. Whether delegated or not, the Lender reviews any management agreement that is not part of a Directory-listed franchise disclosure document and treats the Applicant as ineligible where the manager has sole discretion, unless the Applicant approves the budget and large expenditures, controls the bank accounts and oversees employees who are its own; side agreements giving a non-guarantor investor control make the Applicant ineligible.
