The governing body should reach decisions of the quality needed and make sure its decisions are well informed. It should: balance steering the discussion towards a conclusion with giving each member room to voice an independent view; secure commitment to back the collective decision, record it clearly and carry it out; consider how independent it is and how that shapes its decisions, taking in financial interests, standing, affiliations, relationships, bias and alliances; deal carefully with conflicts of interest when deciding; watch its own dynamics, including over-reliance on a single member; use its right and duty to specify and obtain the information it needs, including how data is gathered, prepared and delivered on time; make sure there is assurance that the data and information it receives are sound, accurate and complete; and make sure varied inputs feed a rigorous, open and transparent process in which the achievable outcomes, the options and their consequences are understood.
