Taken together, the governing body should stay properly equipped for its role. Appointments should be visible to stakeholders and take account of competence (relevant skills, experience, knowledge and understanding), inclusion and diversity, independent thinking and action, available time, probity and commitment. Governing bodies may set up committees, required by law or created voluntarily, to add capacity, skills, independence, diversity or stakeholder representation, and should hand them the responsibilities and authority they need in an effective way. The governing body should always act as a collective, and its members should act in the organization's best interests and with probity while applying the principles.
