Governance and management are separate, both needed, and complementary. Governance sets the boundaries and answers for the organization achieving its purpose within them; management meets the related objectives by making choices inside those boundaries. The governing body should make sure everyone's roles and responsibilities are clear and should call its delegates to account. How far the two are separated depends on circumstances; where one person carries both governance and management duties (a governing body member who is also an executive), that person should be able to tell which role they are performing and act to suit. The document adds to management standards by setting out and guiding the role of governance.
