Contracts where the contracting party is a principal or a special purpose vehicle, and subcontracts (except where the head contracting party is a special purpose vehicle), are subject to a condition that, before practical completion, retention amounts withheld and securities held total no more than 5% of the contract price (amounts protecting payments for items not yet installed are excluded); a principal's contract may opt out only by a written, explained and initialled term. Each retention deduction must not exceed 10% of the payment it is taken from. After practical completion, retentions and securities must total no more than 2.5% of the contract price, except amounts not related to correcting defects identified in the defects liability period. Terms inconsistent with these conditions are unenforceable against the contracted party.
