Parts 24, 25 and 35: Confirmation statement, charges, the registrar and identity verification; offences and company records (Parts 36 to 37) – UK Companies Act 2006

UK Companies Act 2006 859A-859Q: Register charges created by the company with the registrar within 21 days

What does 859A-859Q require?

When a company creates a charge, the company or any person interested must deliver to the registrar, within 21 days beginning the day after creation, a section 859D statement of particulars (registered name and number, date of creation, the persons entitled to the charge, whether it is a floating charge and whether it contains a negative pledge, and the land, ships, aircraft or intellectual property charged) with a certified copy of the instrument (sections 859A, 859D, 859E); charges acquired with property and series of debentures follow sections 859B and 859C. If the charge is not registered in time it is void against a liquidator, administrator or creditor and the money secured becomes immediately payable (section 859H), unless the court extends the period (section 859F). The registrar issues a certificate (section 859I), and the company must keep copies of instruments creating charges available for inspection (sections 859P, 859Q); satisfaction and release are notified under section 859L.
