Parts 24, 25 and 35: Confirmation statement, charges, the registrar and identity verification; offences and company records (Parts 36 to 37) – UK Companies Act 2006

UK Companies Act 2006 1110A-1110F: Identity verification of directors and PSCs; authorised corporate service providers; reporting discrepancies

What does 1110A-1110F require?

An individual's identity is verified for the Act when verified by the registrar under the regulations or when a verification statement from an authorised corporate service provider (an AML-supervised agent registered with the registrar) has been delivered (sections 1110A to 1110C, inserted by the Economic Crime and Corporate Transparency Act 2023). Directors and PSCs must be verified by the dates the commencement regulations fix (new directors on appointment, existing directors by the transition deadline, through section 167M and the Part 21A provisions), and only authorised corporate service providers may deliver documents on behalf of others (sections 1098A to 1098H). Regulations under section 1110D may require businesses to report discrepancies between the register and information they obtain in customer due diligence, and sections 1110E to 1110G govern disclosure to and by the registrar.
