Parts 24, 25 and 35: Confirmation statement, charges, the registrar and identity verification; offences and company records (Parts 36 to 37) – UK Companies Act 2006

UK Companies Act 2006 853A-853L: Confirmation statement every twelve months, with the statement of capital, shareholder, PSC and business activity updates

What does 853A-853L require?

Every company must deliver to the registrar, before the end of 14 days after the end of each review period (twelve months from incorporation or the last confirmation date), a confirmation statement confirming that all information required to be delivered in that period has been delivered (section 853A), together with notice of changes in the principal business activities (section 853C), a statement of capital where it has changed (section 853D), the trading status of shares (section 853E), shareholder information for non-traded and certain traded companies (sections 853F, 853G), information about any Part 21A exemption (section 853H), a statement of lawful purpose (section 853CA) and the registered email address and any changes (section 853BA). Failure is an offence by the company and every officer in default (section 853L), and the registrar may strike off a company that does not file.
