Where a corporation (including an LLP) commits an offence under the Act, an officer, or an individual involved in management who can influence the relevant conduct, is guilty of the same offence if they consented, connived or conspired, were otherwise knowingly concerned, or knew, or should have known, that the offence or a similar one was about to be or was being committed, yet did not take every reasonable step to prevent or halt it. The state of mind and conduct of officers, employees and agents acting within authority is attributed to the corporation. Section 33 applies the same rule to partners and officers of unincorporated associations and partnerships.
