New Zealand Commerce Act 1986
Part 2: Restrictive trade practices – New Zealand Commerce Act 1986

New Zealand Commerce Act 1986 28-28D: Do not require or give covenants that substantially lessen competition, including the prohibited grocery-related covenants

What does 28-28D require?

No person, alone or for an associated person, may demand a covenant, or give one, whose purpose, effect or likely effect is to substantially lessen competition in a market. Covenants in leases, restrictive covenants on land and exclusivity covenants that restrict grocery retailing (as defined by sections 28A to 28D) are treated as having that effect and are unenforceable; a designated grocery retailer may be required by the Commission to provide information about such covenants, and a voluntary removal process applies.
