A business must not, in trade or commerce, in connection with supplying goods or services to a person or acquiring goods or services from a person, engage in conduct that is unconscionable in all the circumstances. The prohibition is not limited by the general law, can apply to a system or pattern of conduct without an identified victim, and reaches how a contract is performed as well as how it is formed. Courts may weigh (s 22), among other things: relative bargaining strength; conditions not reasonably necessary to protect the business's legitimate interests; whether the other party could understand the documents; undue influence, pressure or unfair tactics; the price and terms available elsewhere; consistency with dealings with similar customers or suppliers; applicable industry codes; unreasonable failure to disclose intended conduct and its risks; willingness to negotiate, the contract terms and conduct in performing them; unilateral variation rights; and good faith. Merely starting legal proceedings or arbitration is not unconscionable.
