Australia Corporations Act 2001 (Cth) s994E: s 994E Issuers and distributors: take reasonable steps so that distribution is consistent with the TMD

The issuer takes reasonable steps that will, or are reasonably likely to, result in retail product distribution conduct being consistent with the TMD, and each distributor takes reasonable steps that would have, or would reasonably likely have, resulted in its distribution being consistent with the TMD, except excluded conduct (offence and civil penalty). A sale to a client outside the target market does not by itself prove a failure.
