UK Companies Act 2006 362-379: Political donations and expenditure require prior members' authorisation

What does 362-379 require?

A company must not make a political donation to a political party, other political organisation or independent election candidate, or incur political expenditure, unless authorised by a resolution of the members (and of the members of any holding company) in the form section 367 requires, with a cap and a four-year maximum duration; donations not exceeding 5,000 pounds in aggregate in any twelve-month period across the group are exempt (section 378), as are trade union subscriptions, all-party parliamentary groups and the other exemptions in sections 374 to 379. Directors are jointly and severally liable to the company for unauthorised donations with interest (section 369) and members may enforce (section 370).
