UK Companies Act 2006 281-300: Resolutions: ordinary and special, written resolutions of private companies

What does 281-300 require?

A private company may pass resolutions as written resolutions or at a meeting; a public company only at a meeting (section 281). An ordinary resolution is passed by a simple majority and a special resolution by 75 per cent, of the members voting (sections 282, 283). A written resolution is passed when the required majority of eligible members signify agreement, must be circulated to every eligible member with a statement of how to signify agreement and the lapse date (28 days unless the articles say otherwise), may be proposed by the directors or by members holding 5 per cent of voting rights, and cannot be used to remove a director or auditor (sections 288 to 300).
