Chapter 3: merger control – South Africa Competition Act 89 of 1998

South Africa Competition Act 89 of 1998 18A: Foreign acquiring firms: national security notification alongside the merger filing

What does 18A require?

A foreign acquiring firm that must notify the Commission of an intermediate or large merger must, at the same time, file a notice in the prescribed form with the national security Committee constituted by the President, if the merger touches an interest on the national security list the President publishes in the Gazette (section 18A(6)). The Committee has 60 days (extendable by the President on good cause) to decide whether the merger may adversely affect those interests, considering defence, sensitive technology transfer, critical infrastructure, supply of critical goods and services, surveillance or espionage risk, international relations, illicit actors and economic and social stability (section 18A(4)); the Commission may not make a decision on a merger the Committee has prohibited. The section is in the consolidation; the President's list and regulations give it operational effect.
