A party to a small merger need not notify the Commission and may implement without approval, but may notify voluntarily, and within six months after implementation the Commission may require the parties to notify in the prescribed form if, in its view, the merger may weaken competition substantially or lacks public interest justification (section 13(3)). Once notification is required, no further steps to implement may be taken until the merger is approved or conditionally approved (section 13(4)). The Commission decides within 20 business days (extendable once by up to 40), failing which the merger is deemed approved subject to section 15.
