Where the undertaking is maintained by an NV, BV, cooperative or mutual insurance society, its supervisory directors (if any) or representatives from among them attend the twice-yearly discussions of the general course of business; where at least half the shares are held by another company, the duty rests on that company's directors; for an association or foundation, its board members attend. The council may waive this in a particular case. The duty does not apply where the entrepreneur, alone or as part of a group, has instituted at least five works councils (24(3)).
