A lawyer may not do business with a client, or with a former client whose representation ended less than two years earlier, including by providing investment services, nor knowingly acquire an ownership, possessory, security or other pecuniary interest adverse to such a client, unless the deal and its terms are fair and reasonable to the client and set out in writing in a way the client can understand, the client is advised in writing to consider independent counsel and given a reasonable chance to consult one, the client signs an informed consent to the essential terms and to the lawyer's role including whether the lawyer represents the client in the deal, and the lawyer states in writing either that legal services will be provided on the transaction or that the lawyer acts purely as a business person the client cannot look to for legal advice. For investment services the lawyer must also say in writing whether the services are covered by legal liability or other insurance; investment services are caught only where the lawyer directly or indirectly controls the invested funds and has an interest in the underlying investment.
