Connecticut Rules of Professional Conduct (Connecticut Practice Book) 1.17: Sale of a law practice: cease practice in the area, sell the whole, give ninety-day client notice and keep fees unchanged

What does 1.17 require?

A lawyer or firm may buy or sell a practice, or one area of it, with its goodwill, only on four conditions: the seller gives up private practice in Connecticut, or in the area sold; the whole practice or the whole area passes to one or more lawyers or firms; each client is told in writing about the sale, the right to engage other counsel or take the file, and that consent to the transfer will be presumed unless the client objects within ninety days of receiving the notice; and fees are not raised because of the sale. Where a client cannot be reached, the file may be transferred only under a court order, with any in camera disclosure to the court limited to what the order requires.
