The company secretary contravenes s 188(1), a civil penalty provision, if the company fails to comply with the listed corporate responsibility provisions: registered office (ss 142, 145), change of principal place of business (s 146), proprietary company member register and share structure changes (ss 178A, 178C), notice of resignation day (s 203AA(6)), lodging notices with ASIC (s 205B), issue of shares notices (s 254X), lodging annual and half-year reports (ss 319, 320), responding to extracts and returns of particulars (ss 346C, 348D) and change of ultimate holding company (s 349A). Where a proprietary company has no secretary, each director carries this responsibility (s 188(2)). It is a defence to have taken reasonable steps to ensure the company complied.
