Australia Corporations Act 2001 (Cth) s182-183: ss 182 and 183 Do not improperly use position or information to gain an advantage or cause detriment

A director, secretary, other officer or employee does not improperly use their position, and anyone who obtains information because they are or were a director, officer or employee does not improperly use that information, to gain an advantage for themselves or someone else or to cause detriment to the corporation. The information duty continues after the person leaves. Both are civil penalty provisions that also catch involved persons; dishonest use is an offence (s 184(2), (3)).
