Australia Corporations Act 2001 (Cth) s181: s 181 Act in good faith in the corporation's best interests and for a proper purpose

Each director and other officer exercises their powers and discharges their duties in good faith in the best interests of the corporation and for a proper purpose (s 181(1)); a person involved in a contravention also contravenes (s 181(2)). Both are civil penalty provisions; reckless or dishonest breach is an offence (s 184(1)).
