The general rule is that perfection, its effect (or the effect of its absence) and priority follow the law of wherever the debtor is located (section 9-301), with the debtor's location fixed by section 9-307: an individual at principal residence, an organisation with one place of business at that place, otherwise at its chief executive office, and a registered organisation (a corporation, limited liability company or limited partnership) in the State under whose law it is organised, with federal registered organisations and foreign debtors handled by the special rules. Exceptions send possessory security interests and fixture filings to the location of the collateral, agricultural liens to the farm products' location, certificate-of-title goods to the jurisdiction that issued the title (section 9-303), deposit accounts to the bank's jurisdiction as chosen in the account agreement (section 9-304), investment property to the issuer's or intermediary's jurisdiction (section 9-305), letter-of-credit rights to the issuer's jurisdiction (section 9-306) and, under the 2022 amendments, controllable electronic records to the jurisdiction the record specifies or else the District of Columbia. A change of location or a transfer of collateral to a new debtor in another jurisdiction leaves the security interest perfected for four months (one year for a new debtor) while the secured party re-perfects (section 9-316).
