US ITAR and EAR - Export Control and Data Security ITAR 122.4: Notify DDTC of registration changes and of foreign ownership transactions

What does ITAR 122.4 require?

A registrant must give DDTC written notice within five days of an indictment, charge or conviction of a listed person for an enumerated offence, of new ineligibility, or of a change in name, address, legal structure, ownership or control, U.S. or foreign subsidiaries or affiliates engaged in defense business, or the board, senior officers, partners or owners (122.4(a)). It must give at least 60 days' advance notice by registered mail of any intended sale or transfer to a foreign person of ownership or control of the registrant or any of its entities; the notice does not replace the approvals needed to release technical data to the foreign acquirer (122.4(b)). After a merger or acquisition the surviving entity must identify surviving registration and licence numbers and, within 60 days, file signed amendments to approved agreements naming the new party, or the licences and agreements may be treated as invalid (122.4(c)).
