UK Companies Act 2006
Part 8 and Part 21A: Members, register of members and people with significant control – UK Companies Act 2006

UK Companies Act 2006 790C-790ZG: People with significant control: investigate, obtain and record PSC information and notify the registrar

What does 790C-790ZG require?

A company must take reasonable steps to find out whether there is any registrable person or registrable relevant legal entity with significant control over it (the conditions in Schedule 1A: more than 25 per cent of shares or voting rights, the right to appoint or remove a majority of directors, significant influence or control, or control over a trust or firm that meets a condition), give notice to anyone it knows or has reasonable cause to believe is registrable, and record the required particulars (name, service address, country of residence, nationality, date of birth, usual residential address, the date of becoming registrable and the nature of control) in its PSC register or on the central register (sections 790D to 790M). Changes must be recorded and notified to the registrar within the periods the Part provides, failure to respond to a notice may lead to restrictions on the shares (Schedule 1B), and usual residential addresses are protected from public inspection (section 790ZF). Since the Economic Crime and Corporate Transparency Act 2023, PSC statements are delivered to the registrar and an individual PSC's identity must be verified.
