UK Companies Act 2006
Part 8 and Part 21A: Members, register of members and people with significant control – UK Companies Act 2006

UK Companies Act 2006 113-128: Register of members: contents, inspection, index and the central register option

What does 113-128 require?

Every company must keep a register of its members with the names and addresses of the members, the date each became and ceased to be a member and, for a company with a share capital, the shares held and the amount paid (section 113, with the required information updated by the Economic Crime and Corporate Transparency Act 2023 including a member's forenames and surname); companies with more than 50 members need an index (section 115). The register must be kept available for inspection at the registered office or a notified inspection place, open to members free and to others for the prescribed fee on a request stating the purpose, with the company able to apply to the court to refuse an improper request (sections 114 to 120). A private company may elect to keep its members' information on the central register (Chapter 2A, sections 128A to 128K).
