Part 10 Chapters 1 and 2: Directors (appointment, notification, identity verification) and the general duties – UK Companies Act 2006

UK Companies Act 2006 173-174: Duties to exercise independent judgment and reasonable care, skill and diligence

What does 173-174 require?

A director must exercise independent judgment, which is not infringed by acting under an agreement duly entered into by the company that restricts future discretion or in a way authorised by the constitution (section 173). A director must exercise the care, skill and diligence that would be exercised by a reasonably diligent person with the general knowledge, skill and experience reasonably expected of a person carrying out the director's functions (the objective floor) and the general knowledge, skill and experience the director actually has (the subjective uplift) (section 174).
