Someone who receives money, or funds paid out of a deposit account, takes clear of a security interest unless colluding with the debtor (section 9-332). A possessory lien arising by operation of law for services or materials in the ordinary course has priority over a security interest unless the statute provides otherwise (section 9-333). Security interests in fixtures rank against real property interests by fixture filing, with priority for purchase-money fixtures filed within twenty days of the goods becoming fixtures, for readily removable factory, office and consumer equipment, and for construction mortgages recorded before the goods became fixtures; agricultural liens on crops follow the real property law of the State (section 9-334). Accessions keep their perfection on installation but lose to a certificate-of-title interest in the whole (section 9-335); commingled goods carry the security interest into the product or mass, ranking by value contributed (section 9-336); a buyer or secured party that relies on a clean certificate of title from another jurisdiction takes free of or ahead of an interest noted elsewhere (section 9-337); a financing statement with incorrect section 9-516(b)(5) information loses to purchasers that reasonably relied on it (section 9-338). A bank's recoupment or set-off rights against a deposit account generally prevail over a security interest in it, except where the secured party has control by becoming the bank's customer (section 9-340); a bank's rights and duties to its customer are unaffected by a security interest unless it has agreed otherwise (section 9-341); and a bank need not enter into or disclose a control agreement (section 9-342).
