Where the adviser is responsible for choosing the broker-dealers that execute client trades, the duty of care requires it to seek best execution: to trade so that what the client pays or receives on each transaction is the most favourable the circumstances allow, considering the full range and quality of the broker's services (execution capability, commission, financial responsibility, responsiveness, research). The adviser must evaluate execution quality periodically and systematically, and soft-dollar arrangements must satisfy the section 28(e) safe harbour or be disclosed as conflicts.
