Rule 204A-1 requires a registered adviser to adopt, and enforce, a written ethics code that sets a standard of business conduct reflecting the adviser's fiduciary obligations, requires compliance with the federal securities laws, requires access persons to report their personal securities holdings within ten days of becoming an access person and at least annually (information current within forty-five days) and their transactions each quarter within thirty days of quarter end, requires pre-clearance before an access person acquires a beneficial interest in an initial public offering or a limited offering, requires prompt internal reporting of violations to the chief compliance officer, and requires the adviser to give every supervised person a copy of the code and obtain a written acknowledgement. The adviser must review the reports, and the code and its records fall within rule 204-2.
