UAE Virtual Asset Regulatory Authority (VARA) Regulations CO-I.A: Company Rulebook I.A: Company ownership structure

Keep a clear, transparent company structure with a legal entity in Dubai in an approved legal form and a traceable chain of ownership, delegated authority and voting power so VARA can identify controlling entities and ultimate beneficial owners. Complex structures (trusts, nominees, decentralised autonomous organisations or other decentralised governance) must be explained to VARA with the reasons, the relationships and their effect on compliance, and VARA's written approval is needed before any material change to structure, controllers or UBOs, or before adopting decentralised governance, with added due diligence and declarations that new controllers and UBOs are not politically exposed or sanctioned.
