SEC Climate Disclosure Rule FORMS: Separately captioned Climate-Related Disclosure section in annual reports and registration statements

What does FORMS require?

Provide the subpart 1500 information in a separately captioned Climate-Related Disclosure part of the filing: Form 10-K Part II Item 6 (asset-backed issuers may omit it under General Instruction J), Form 20-F Item 3.E, Form S-1 Item 11(o), Form S-11 Item 9, Form 10 Item 3.A, and for Forms S-4 and F-4 General Instructions B.3 and C.3 as to a reporting registrant or reporting company being acquired. Responsive disclosure may sit elsewhere (risk factors, business, MD&A), in which case the registrant should consider cross-referencing it from the captioned section.
