Item 1501: Governance – SEC Climate Disclosure Rule

SEC Climate Disclosure Rule 1501(a): Item 1501(a): board oversight of climate-related risks

What does 1501(a) require?

Describe how the board of directors oversees climate-related risks. Where applicable, name the board committee or subcommittee responsible and describe how the board or that committee is informed about the risks. If a climate-related target or goal (Item 1504) or a transition plan (Item 1502(e)(1)) is disclosed, describe whether and how the board oversees progress against it. For a foreign private issuer with a two-tier board, the board means the supervisory or non-management board; for one relying on Rule 10A-3(c)(3), the board of auditors or statutory auditors. Unlike most of the subpart, this item is not qualified by materiality of the risk.
