New Zealand Commerce Act 1986
Parts 3 and 5: Business acquisitions, clearances, authorisations and undertakings – New Zealand Commerce Act 1986

New Zealand Commerce Act 1986 58-69B: Comply with the conditions of any clearance or authorisation and with divestiture undertakings given to the Commission

What does 58-69B require?

A person may apply for a clearance for a business acquisition that would not substantially lessen competition, or for an authorisation where the public benefit outweighs the lessening of competition, and may seek authorisation of restrictive trade practices or a clearance of a collaborative activity; the Commission may grant, condition, vary or revoke them following the Part 5 procedures. A clearance or authorisation protects only conduct within its terms and conditions; where the Commission accepted a written undertaking to dispose of assets or shares and that undertaking is contravened, the clearance or authorisation is void from the date it was granted and the acquisition is exposed to the Part 3 prohibition.
