FINRA Rule 2111 Suitability (United States)
Rule 2111(b) and .07: institutional accounts – FINRA Rule 2111 Suitability (United States)

FINRA Rule 2111 Suitability (United States) 2111b-institutional: Treat an institutional account's customer-specific suitability as met only where the customer can evaluate risk independently and says it is exercising independent judgment

What does 2111b-institutional require?

Where the account is institutional in the Rule 4512(c) sense, the customer-specific component is satisfied on two conditions: the firm reasonably concludes that the institution can weigh investment risk on its own, generally and for the specific transaction or strategy, and the institution states positively that it is relying on its own judgment when it evaluates what the firm recommends. If decision-making has been handed to an agent (an adviser or a bank trust department, for example), both conditions are tested against the agent. The reasonable-basis and quantitative components continue to apply.
