Third-country auditors and audit entities that issue audit reports on the financial statements, or assurance reports on the sustainability reporting, of a non-EU undertaking whose transferable securities trade on a regulated market of a Member State (excluding issuers of only high-denomination debt) must register in that Member State, keep the registration updated and signed, and are subject to its oversight, quality assurance (unless an equivalent system reviewed them in the past three years) and investigation and penalty systems; unregistered reports have no legal effect. Registration for financial statement audits requires an entity whose body majority and signing auditor meet equivalent qualification requirements, audits under the adopted international auditing standards and the independence, acceptance and fee rules or equivalents, and an annual website transparency report meeting Article 13 of Regulation (EU) No 537/2014 or equivalent; registration for sustainability assurance requires the equivalent conditions including the assurance standards and Article 25b. For financial years starting from 1 January 2025 to 31 December 2030 a transitional registration for assurance is granted on the auditor's name, address and structure, a declaration of sustainability knowledge, network description, standards and independence requirements applied, internal quality control description and the latest quality review outcome.
