ESRS (revised 2026) ESRS2-SBM-3: SBM-3 Interaction of material impacts, risks and opportunities with strategy and business model, and financial effects

What does ESRS2-SBM-3 require?

The undertaking gives a high-level picture of where its material impacts come from within its strategy and business model, what its risks and opportunities do to the business model and value chain, and what it has done and intends to do about them in strategy and decision-making. It discloses qualitative and quantitative information on how material risks and opportunities affected financial position, performance and cash flows in the period (current financial effects), on those with a significant risk of material adjustment to carrying amounts within the next year, and on how it expects position, performance and cash flows to change over the short, medium and long term given its strategy (anticipated financial effects), considering announced investment and disposal plans and funding sources. Quantitative information may be omitted where effects are not separately identifiable, measurement uncertainty is too high, or the undertaking lacks the skills, capabilities or resources; it then explains why, gives qualitative information identifying the financial statement line items, totals and subtotals affected, and quantifies the combined effects with other factors unless that too would not be useful. Amounts may be single figures or ranges, may be non-monetary, and use all reasonable and supportable information. The undertaking also discloses qualitatively the resilience of its strategy and business model to its material risks, how the analysis was done and the time horizons considered.
