The bank-facing duties inside the supervisory principles. The bank obtains supervisory approval, or gives immediate notice, for proposed changes in ownership (including beneficial ownership), in voting rights above set thresholds or in controlling interest, and notifies the supervisor as soon as it learns of material information that may negatively affect the suitability of a major shareholder or controlling party; it reports the names and holdings of significant shareholders, including beneficial owners behind nominees, custodians and vehicles (Principle 6). Acquisitions and investments of the types and sizes the law sets need prior approval or, for small closely related ones, notice afterwards, and the bank must show adequate financial, managerial and organisational resources to manage them from the outset (Principle 7). The bank notifies the supervisor in advance of substantive changes in its activities, structure and overall condition, and as soon as it becomes aware of material adverse developments, including breaches of legal or prudential requirements (Principle 9, essential criterion 10). It submits prudential reports and statistical returns on a solo and consolidated basis, on demand and at regular intervals, timely and accurately, with senior management accountable for their accuracy and errors amended, and operates sound governance and controls over valuation methodologies, with fair values based on reliable inputs used consistently for risk management and reporting and independently validated (Principle 10).
