The directors' report includes dividends paid and declared, every director during or since the year and their period of office, officers who were audit firm partners, options granted to directors and the five most highly remunerated officers, unissued shares under option and shares issued on exercise, indemnities and insurance premiums for officers and auditors, and derivative proceedings. Public companies add each director's qualifications, experience and special responsibilities, board and committee meetings and attendance, and secretaries' qualifications; listed companies add each director's relevant interests and other listed directorships in the last 3 years, and non-audit services fees with the directors' statement (on audit committee advice) that they did not compromise auditor independence; registered schemes add fees, interests and asset values.
