AASB 10 Consolidated Financial Statements
Accounting requirements: consolidation procedures, non-controlling interests and loss of control (paragraphs 19 to 26, B86 to B99A) – AASB 10 Consolidated Financial Statements

AASB 10 Consolidated Financial Statements B99A: Loss of control of a subsidiary without a business to an equity-accounted associate or joint venture: recognise the gain or loss, and the remeasurement of any retained equity-accounted interest, only to the extent of unrelated investors' interests (mandatory from 2028)

What does B99A require?

Where control is lost over a subsidiary that is not a business under AASB 3 through a transaction with an associate or joint venture it equity-accounts, the gain or loss worked out under B98 and B99 (including recyclable OCI) goes to profit or loss only in proportion to the interests that unrelated investors hold in the associate or joint venture, with the rest eliminated against the investment's carrying amount. If the former subsidiary itself becomes an equity-accounted associate or joint venture, the remeasurement gain on the retained interest is likewise recognised only to the extent of unrelated investors' interests in it; if the retained interest falls under AASB 9, the remeasurement is recognised in full. This paragraph, from the sale or contribution amendments, applies prospectively to transactions in annual periods starting from 1 January 2028, with earlier application permitted and disclosed.
